These Terms and Conditions (hereinafter, the "Terms") govern access to and use of the Tyspicar platform (tyspicar.com), operated by Tyspicar S.A.S., a company incorporated under the laws of the Republic of Ecuador, registered in the Commercial Registry of the Canton of Quito under No. 2847, with RUC 1792847563001.
1. Acceptance of Terms
By accessing or using the Platform, you agree to be bound by these Terms. If you disagree, you must refrain from using our services. Continued use after modifications constitutes acceptance of the updated terms.
2. Eligibility
To use Tyspicar you must: be at least 18 years old, have legal capacity to contract in Ecuador, complete the identity verification process (KYC), not be included in international sanctions lists, and provide truthful and up-to-date information.
3. Nature of Service
Tyspicar operates as a technology platform that facilitates the connection between real estate developers seeking financing and individuals wishing to invest in real estate projects. Tyspicar is NOT a financial institution, brokerage house, or fund manager. We do not take public deposits or offer guarantees on invested capital.
4. Investment Risks
All investments made through the Platform carry significant risks, including but not limited to: partial or total capital loss, illiquidity during the project term, construction and development risks, real estate market fluctuations, and regulatory changes. Past returns do not guarantee future results. Tyspicar assumes no responsibility for investment losses.
5. User Obligations
The user agrees to: maintain the confidentiality of their credentials, not use the Platform for illicit activities, provide truthful information at all times, immediately notify any unauthorized use of their account, and comply with tax obligations arising from their investments.
6. Intellectual Property
All Platform content (texts, designs, logos, source code, databases) is the property of Tyspicar S.A.S. or its licensors, protected by Ecuador's Intellectual Property Law and international treaties. Reproduction without written authorization is prohibited.
7. Limitation of Liability
To the maximum extent permitted by Ecuadorian law, Tyspicar shall not be liable for indirect, incidental, or consequential damages arising from the use of the Platform or investment decisions made based on the information provided.
8. Dispute Resolution
Any dispute arising from these Terms shall be resolved through arbitration administered by the Arbitration and Mediation Center of the Quito Chamber of Commerce, in accordance with its current Regulations. The seat shall be Quito, Ecuador, and the language shall be Spanish.
9. Applicable Law
These Terms are governed by the laws of the Republic of Ecuador. For purposes of judicial notifications, Tyspicar designates domicile at Av. González Suárez N31-72, Quito, Pichincha, Ecuador.
